DataVue / OpScan - Subscription and Licensing Agreement

Please read the following document. Clicking the "Buy Now" button for any item at the end of this agreement will constitute agreement to the terms outlined herein.

• OptionVue Systems International, Inc. (“OSI”) agrees to permit access by the Subscriber to DataVue and/or OpScan Services (“Service”) according to the following terms and provisions.

• OSI will provide a User-ID and password to the Subscriber, establishing his\her account for the use of the Service.

• Information from the Service may be stored in memory, manipulated, analyzed, reformatted, printed and/or displayed for the Subscriber’s own private and individual use. Subscriber will not communicate, sell or otherwise furnish or permit to be furnished information obtained from DataVue / OpScan to any other person, organization or entity.

• Subscriber hereby contracts to use the DataVue / OpScan Service and agrees to pay for charges incurred based on the rate schedule in effect at the time such services are used. It is understood and agreed that the fees reflected in the rate schedule are subject to change upon thirty (30) days written notice to the Subscriber of the Service.

• OSI may terminate the Service and cancel this Agreement in whole or in part at any time without notice if:

  Subscriber fails to pay any charge after the next statement/invoice date in which it becomes past due.

  OSI’s data sources revoke Subscriber’s right to receive the information, direct OSI to discontinue the Service to the Subscriber, or discontinues service to OSI.

  • Subscriber fails to comply with any of the terms and conditions of this Agreement.

OSI makes no warranties to the Service, including its quality or accuracy. Subscriber recognizes that the accuracy of the information should be checked before the Subscriber relies in it. OSI and its sources will in no way be liable to the Subscriber or any other party for any loss, damage, cost, or expense arising from the transmission or receipt of any erroneous, incomplete or out of date information, or for delays or interruptions in the Service, regardless of cause.

Subscriber agrees to indemnify and hold harmless OSI, its agents, officers, directors, and employees for and against all claims brought by parties other than the parties to this Agreement.This Agreement shall be governed by and constructed in accordance with the laws of the State of Illinois. In any action arising under this Agreement, Subscriber consents to the jurisdiction of the courts of Illinois and agrees that the action may be venued in Illinois.

The Subscriber shall not voluntarily assign this Agreement in whole or in part. Notwithstanding this limitation on assignment this Agreement shall be binding upon and shall insure to the benefit of the parties hereto, and their heirs, successors and assigns.

OSI will provide technical support by phone. Subscriber agrees to notify OSI of any problems via the OSI technical line 1-847-816-6610 or by email at support@optionvue.com.

Charges for DataVue-North America and OpScan are $49* each for unlimited use during your 30-day billing cycle, but only if you use one or both of them. If you do not use a service during a given billing cycle, there will be no charge for that period.

DataVue-ASX is $27.50 for unlimited use during your 30-day billing cycle. If you do not use a service during a given billing cycle, there will be no charge for that period.

You may also elect to pay for DataVue-North America, OpScan or both one year in advance and save 15% compared to paying monthly. Each service is $500* for one year. PREPAID ANNUAL PLANS ARE NOT REFUNDABLE IN WHOLE OR IN PART.

You may also elect to pay for DataVue-ASX one year in advance and save 15% compared to paying monthly. DataVue-ASX is $280* for one year. PREPAID ANNUAL PLANS ARE NOT REFUNDABLE IN WHOLE OR IN PART.
